How these Terms work: These Terms govern use of this website and the general commercial relationship between visitors/prospective clients and Meridian Steel Detailing LLC. They are not a substitute for the signed project proposal, statement of work, or master services agreement that governs the specific scope, pricing, schedule, and deliverables for any individual detailing engagement — that document controls where the two conflict.

1. Acceptance of terms

By accessing or using meridiansteeldetailing.com (the "Site") or engaging Meridian Steel Detailing LLC ("Meridian," "we," "us," or "our") for detailing services, you agree to these Terms of Service. If you do not agree, please do not use the Site or engage our services.

2. Who we are

Meridian Steel Detailing LLC is a Florida-registered company providing structural steel detailing services — including Tekla and SDS/2 modeling, shop drawings, erection drawings, and connection design support — to fabricators, contractors, and engineers of record ("Clients") across the United States. Meridian serves as the single point of contact for all client contracts, invoicing, and account management, and coordinates production through its detailing team and subcontracted production partners.

3. Use of this website

This Site is provided for general information about our services and to facilitate project inquiries. You agree to use the Site only for lawful purposes and not to:

Submit false, misleading, or fraudulent information through our project brief form
Attempt to interfere with the Site's operation or security
Copy, reproduce, or reuse Site content, text, or design for commercial purposes without our written consent

4. Requesting a quote

Submitting a project brief or contacting us does not create a contract, obligation, or exclusivity between you and Meridian. A binding engagement begins only when both parties execute a written proposal, statement of work, or agreement specifying scope, pricing, schedule, and deliverables.

5. Project engagements — general terms

The following general principles apply to detailing engagements, subject always to the specific terms of the signed proposal or agreement for that project:

Scope and pricing: Fixed-fee proposals are based on the information, drawings, and specifications provided at the time of quoting. Material changes to scope, tonnage, or complexity discovered after work begins may require a revised quote.
Revisions: Each proposal specifies the revision rounds included within the fixed fee. Revisions beyond agreed scope will be discussed and quoted transparently before additional work begins.
Client-provided information: We rely on the accuracy and completeness of structural drawings, markups, and specifications provided by the Client or the Client's engineer of record. We are not responsible for design errors originating in Client-provided source documents, though we will raise RFIs where information is unclear or incomplete.
Approvals: Client review and timely approval of submittals materially affects project schedule. Delays in Client-side review may extend delivery timelines accordingly.
Payment: Invoicing terms are set out in the individual project agreement. Late payment may result in a pause of active work until account status is resolved.

6. Confidentiality

We treat Client project drawings, specifications, and business information as confidential, and use them solely to perform the engaged work. We are glad to execute a mutual non-disclosure agreement prior to sharing sensitive project information where a Client requires one.

7. Intellectual property

Upon full payment, Clients receive full rights to use the detailing deliverables produced for their specific project for its intended fabrication and construction purpose. Meridian retains ownership of its underlying methods, templates, and internal tools. Site content, branding, and design remain the property of Meridian Steel Detailing LLC.

8. Warranties and limitation of liability

We are committed to delivering AISC-compliant, fabrication-ready detailing work, and we stand behind our quality control process. However, to the fullest extent permitted by law:

Meridian's liability for any claim arising from a project engagement is limited to the fees paid for that specific project.
Meridian is not liable for indirect, incidental, or consequential damages, including lost profits or project delays arising from causes outside our reasonable control.
Detailing work is performed based on information provided by the Client and the Client's engineer of record; final design responsibility and connection design sign-off (where applicable) rest with the licensed engineer of record, consistent with standard industry practice under AISC's Code of Standard Practice.

Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or a project engagement will be subject to the jurisdiction of the courts located in Florida, unless the specific project agreement states otherwise.

10. Changes to these terms

We may update these Terms from time to time. The "last updated" date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms. Signed project agreements are governed by the terms in effect at the time of signing, unless amended in writing.
